1. Acceptance of Terms

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you (personally or on behalf of an entity you represent, "User", "you", or "your") and GenieLeads Inc. ("GenieLeads", "Company", "we", "us", or "our"), governing your access to and use of the website located at genieleads.ai, along with all associated web applications, browser extensions, APIs, and outreach automation tools (collectively, the "Service").

By creating an account, clicking "I Agree", "Sign Up", or continuing to access or use the Service, you acknowledge that you have read, understood, and agree to be bound by all of these Terms and our Privacy Policy. If you do not agree with all of these terms, you must immediately cease using the Service.

2. Description of Services

GenieLeads provides a cloud-based sales enablement and outreach platform tailored for modern revenue teams. Our services include, but are not limited to:

• Automated B2B LinkedIn connection requests, inMail, and message sequences.
• AI-assisted copy generation, reply categorization, and lead intent scoring.
• Lead enrichment, company data hygiene, and email verification.
• Sales pipeline tracking, campaign analytics, and team collaboration workspaces.

We reserve the right to modify, enhance, restrict, or discontinue any feature or component of the Service at any time, with or without prior notice, provided that substantive alterations to active paid tiers will be communicated reasonably in advance.

3. Accounts, Verification & Security

To access the features of GenieLeads, you must register for an account using a valid business email address. You agree to provide accurate, current, and complete registration information and to update such information promptly if changes occur.

Email Verification

For security, account activation requires entering a one-time verification passcode (OTP) delivered to your registered email address. GenieLeads reserves the right to reject account creation or invalidate unverified sessions if fraud, disposable email domains, or automated bots are detected.

Account Safeguards

You are solely responsible for maintaining the confidentiality of your login credentials and for any activities or actions under your account. You agree to notify GenieLeads immediately at security@genieleads.ai upon becoming aware of any unauthorized access or breach of security.

4. Subscriptions, Payments & Paddle Merchant of Record

Access to GenieLeads paid features is provided on a recurring subscription basis (monthly or annually) according to the pricing tier selected during checkout.

Merchant of Record

Our order process and billing infrastructure are conducted by our online reseller and Merchant of Record, Paddle.com Market Ltd ("Paddle"). Paddle acts as the Merchant of Record for all our orders, handles customer payment inquiries, and manages applicable sales tax, VAT, and invoice distribution.

Free Trials & Automatic Renewals

If you enroll in a free trial, your subscription will automatically convert to the chosen paid plan at the end of the trial period unless cancelled prior to expiration through your GenieLeads billing settings or customer portal. All recurring plans renew automatically until explicitly cancelled.

Cancellations & Refunds

You may cancel your subscription at any time via your account dashboard. Cancellation takes effect at the end of your current paid billing period, and you will retain access to paid features until that date. Except as required by applicable consumer law or stated in an active promotional guarantee, payments are non-refundable.

5. LinkedIn Compliance & Safe Automation

GenieLeads is an independent sales enablement tool designed to assist professionals with outreach. GenieLeads is not affiliated, associated, authorized, endorsed by, or in any way officially connected with LinkedIn Corporation or Microsoft Corporation.

To preserve account safety, you agree to:

• Respect the daily connection, message, and profile view limits recommended in the GenieLeads application.
• Warm up new or previously inactive LinkedIn accounts before launching high-volume campaigns.
• Avoid running multiple competing browser automation extensions concurrently on the same browser session.

6. Acceptable Use Policy

You agree that you will not use GenieLeads to conduct unlawful, harassing, fraudulent, or harmful activities. Prohibited activities include:

• Transmitting unsolicited bulk commercial spam in violation of the CAN-SPAM Act, GDPR, CASL, or local anti-spam regulations.
• Sending hateful, discriminatory, defamatory, obscene, deceptive, or threatening communications.
• Attempting to probe, scan, or test the vulnerability of our systems, networks, or API authentication boundaries.
• Reverse-engineering, decompiling, disassembling, or copying the source code or proprietary architecture of GenieLeads.
• Reselling, sublicensing, white-labeling, or renting access to the platform without an explicit signed Partner Agreement.

7. AI Services & Automated Messaging

GenieLeads incorporates artificial intelligence and large language models (LLMs) to generate personalized outreach drafts, suggest replies, and summarize lead profiles.

• Review Requirement: While our AI models are tuned for B2B engagement, AI outputs may occasionally contain inaccuracies. You remain solely responsible for reviewing and approving campaign copy before launching sequences.
• Data Usage: We do not sell your proprietary messaging prompts to third-party model providers to train public models without your explicit consent.

8. Intellectual Property Rights

The Service, including its user interface, graphics, algorithms, documentation, brand logos, codebases, and look and feel, is the exclusive property of GenieLeads Inc. and is protected by copyright, trademark, and other applicable intellectual property laws.

You retain all rights and ownership to the customer data, recipient lists, and message copy you upload or author within the platform ("Customer Content"). You grant GenieLeads a limited, non-exclusive license to process and transmit Customer Content strictly as needed to deliver the Service to you.

9. Suspension & Termination

We reserve the right to suspend or terminate your account and access to the Service immediately, without prior notice or liability, if we have reasonable grounds to believe that:

• You have breached any provision of these Terms or our Acceptable Use Policy.
• Your usage patterns threaten the operational integrity, IP reputation, or security of our infrastructure or fellow users.
• A chargeback, payment dispute, or fraudulent transaction is initiated through our billing partners.

10. Disclaimers & Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.

WE DO NOT GUARANTEE THAT USE OF THE SERVICE WILL YIELD ANY SPECIFIC REVENUE, SALES TARGETS, LEAD VOLUMES, OR RESPONSE RATES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GENIELEADS INC., ITS DIRECTORS, EMPLOYEES, AFFILIATES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, WORK STOPPAGE, OR LINKEDIN ACCOUNT RESTRICTIONS) ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE TOTAL FEES PAID BY YOU TO GENIELEADS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

12. Indemnification

You agree to defend, indemnify, and hold harmless GenieLeads Inc. and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and reasonable legal fees arising out of your violation of these Terms, your misuse of the Service, your Customer Content, or your infringement of any third-party rights.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any legal proceeding arising out of or relating to these Terms shall be instituted exclusively in the state or federal courts located in Delaware.
